To the fullest extent permitted by law, MODE’s total liability for any claims under these Terms, including for any implied warranties, is limited to $100.00. The limitations of this section will apply to any theory of liability, whether based on warranty, contract, statute, tort (including negligence) or otherwise, and whether or not MODE has been informed of the possibility of any such damage, and even if a remedy set forth herein is found to have failed of its essential purpose. Some jurisdictions restrict the exclusion or limitation of certain damages, so this provision may not apply to you.
You agree to defend, indemnify, and hold us and our officers, members, managers, employees, and agents harmless from and against any and all claims, liabilities, damages, losses, demands, or expenses, including attorney’s fees and costs and expenses, arising out of or in any way connected with your use of the Site, your breach or alleged breach of these Terms, your unauthorized use of User Content, unauthorized use of your account, or your violation of any rights of any other person.

Any dispute or claim relating in any way to your use of the Site that cannot be resolved between you and MODE will be finally and exclusively resolved by non-appearance based binding individual arbitration under the American Arbitration Association’s rules for arbitration of consumer-related disputes. You and MODE hereby expressly waive trial by jury. You may assert your claim in small claims court if your claim qualifies. You may only bring claims on your own behalf. You and MODE agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. This dispute resolution provision will be governed by the Federal Arbitration Act. Judgment on the award rendered by the arbitrator may be entered in any court having competent jurisdiction. Any provision of applicable law notwithstanding, the arbitrator will not have authority to award damages, remedies or awards that conflict with these Terms. This arbitration agreement will survive the termination of your relationship with MODE. You and MODE agree that you or MODE may bring suit in court to enjoin infringement or other misuse of intellectual property rights.

Compliance with Non-U.S. Law

All claims and disputes arising under these Terms will be brought solely in any court located in Dallas, Texas. You irrevocably submit and consent to the personal jurisdiction of such courts.
Notwithstanding the foregoing, either party has the right to seek a temporary restraining order, preliminary injunction, or other equitable relief from a court of competent jurisdiction to preserve the status quo, prevent irreparable harm, avoid the expiration of any applicable limitation periods, or preserve a superior position with respect to other creditors.
These Terms controls the relationship between MODE and you. These Terms do not create any third party beneficiary rights.
Our failure to enforce the provisions of these Terms does not constitute a waiver of our right to enforce them.
If any term or provision of these Terms are held to be invalid or unenforceable, the remaining terms and provisions of these Terms will remain in full force and effect, and the invalid or unenforceable term or provision will not be considered to be part of these Terms.
In the event of a conflict between these Terms and any additional policies, procedures, disclaimers, guidelines, rules, terms, or conditions of specific application, the additional policies, procedures, disclaimers, guidelines, rules, terms, or conditions of specific application will control.
